1. Acceptance of Terms
By accessing or using Drelo.ai ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, do not access or use the Service.
2. About Drelo.ai
Drelo.ai is an AI-powered accounts payable and invoice automation platform operated by:

Drelo.ai is a product of EDI & SAP Solutions SRL ("ESS", "we", "us", or "our").
3. Definitions
- "Service" means the Drelo.ai platform, including all software, features, APIs, and related services.
- "Client" means any organization or individual that subscribes to or uses the Service.
- "User" means any individual authorized by a Client to access the Service.
- "Client Data" means any data, including financial documents, invoice data, vendor information, and related content, uploaded to or processed by the Service.
- "Processing" means any operation performed on Client Data, including extraction, validation, storage, and transmission.
4. Service Description
Drelo.ai provides:
- Invoice data capture and extraction from documents
- Processing of structured invoice messages, including EDI formats where applicable
- Integration with SAP environments, and with other enterprise ERP environments where supported by the implementation
- Approval workflow automation
- Three-way matching of invoice, purchase order and goods receipt data
- Exception management
- Processing status and reporting views
Specific features, formats and integrations available to a Client depend on the plan and the scope agreed in the Order Form. Nothing in this section states that a particular ERP system, EDI standard or format is supported for a Client's environment in the absence of that agreed scope.
5. Account Registration and Access
5.1 Account Creation
Access to Drelo.ai is provided on an invitation basis. Clients must request access via the demo request form. ESS reserves the right to accept or decline any access request at its sole discretion.
5.2 Account Credentials
Clients are responsible for maintaining the confidentiality of their login credentials and for all activities that occur under their account. Clients must notify ESS immediately of any unauthorized use at contact@edisapsolutions.com.
5.3 User Administration
Clients are responsible for managing user access within their account, including granting, modifying, and revoking user permissions.
6. Subscription Plans and Payment
6.1 Plans
Drelo.ai is offered under volume-based subscription plans. Pricing is tailored to each Client's invoice volume and integration requirements. Specific pricing terms are agreed upon in a separate Order Form or Service Agreement.
6.2 Payment Terms
Unless otherwise specified in the Order Form:
- Invoices are issued monthly or annually, as agreed
- Payment is due within 30 days of invoice date
- Late payments may incur interest at 1.5% per month
6.3 Taxes
All fees are exclusive of applicable taxes including VAT, GST, or sales tax. Clients are responsible for paying all applicable taxes.
6.4 Refunds
Fees paid are non-refundable except as expressly set forth in these Terms or required by applicable law.
7. Acceptable Use
7.1 Permitted Use
Clients may use the Service solely for their internal business purposes in accordance with these Terms and applicable law.
7.2 Prohibited Use
Clients must not:
- Use the Service to process illegal, fraudulent, or unauthorized transactions
- Attempt to reverse engineer, decompile, or disassemble the Service
- Share account credentials with unauthorized parties
- Transmit malware, viruses, or malicious code
- Scrape or harvest data from the Service without authorization
- Use the Service in any manner that could damage, disable, or impair it
- Violate any applicable laws or regulations
8. Client Data and Intellectual Property
8.1 Client Data Ownership
Client retains all rights, title, and interest in and to Client Data. ESS does not claim ownership of Client Data.
8.2 License to Process
By using the Service, Client grants ESS a limited, non-exclusive license to process Client Data solely for the purpose of providing the Service as described in the Privacy Policy.
8.3 ESS Intellectual Property
ESS retains all rights, title, and interest in and to the Service, including all software, algorithms, AI models, user interfaces, and documentation. These Terms do not grant Client any ownership rights in the Service.
8.4 Feedback
If Client provides feedback or suggestions regarding the Service, ESS may use such feedback without obligation to Client.
9. Data Security and Confidentiality
9.1 Security Measures
ESS implements reasonable technical and organisational security measures, including role-based access control scoped to what the process requires, recorded processing steps and decisions, and separation of development, test and production environments.
Specific security measures for a Client's deployment — including transport and storage protection, data location, retention and any assurance documentation — are agreed in the Order Form and the data processing agreement for that deployment. These Terms do not state encryption standards, certifications, penetration-test results or recovery objectives, and none is warranted here.
9.2 Confidentiality
Both parties agree to keep confidential any non-public information disclosed in connection with the Service and not to disclose such information to third parties without prior written consent, except as required by law.
9.3 Data Breach Notification
ESS will notify Clients of any confirmed personal data breach affecting Client Data without undue delay after becoming aware of it, in accordance with applicable law and the data processing agreement, which sets out the agreed notification timescale.
10. Service Levels, Maintenance and Support
10.1 Availability
These Terms state no availability or uptime percentage. Where a Client requires committed service levels, those commitments — including any availability target, measurement method and remedy — are agreed in the Order Form or a separate service level agreement, and only what is agreed there is binding.
10.2 Planned Maintenance
ESS will give Clients reasonable advance notice of planned maintenance expected to affect availability. Any specific notice period is agreed in the Order Form.
10.3 Support
Support is provided by ESS, whose team works with SAP and EDI environments, through the Essix.ai support desk. Support scope and response times are agreed in the Order Form rather than stated here.
11. Warranties and Disclaimers
11.1 ESS Warranties
ESS warrants that:
- The Service will perform materially as described in the documentation
- ESS will implement reasonable security measures to protect Client Data
- ESS has the right to provide the Service
11.2 Disclaimer
EXCEPT AS EXPRESSLY SET FORTH HEREIN, THE SERVICE IS PROVIDED "AS IS." ESS DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- ESS's total liability shall not exceed the fees paid by Client in the 12 months preceding the claim.
- ESS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
13. Indemnification
Client agrees to indemnify and hold harmless ESS from any claims arising from:
- Client's use of the Service in violation of these Terms
- Client Data that infringes third-party rights
- Client's violation of applicable law
14. Term and Termination
14.1 Term
These Terms begin on the date of first access and continue for the subscription period specified in the Order Form.
14.2 Termination for Cause
Either party may terminate immediately if the other party materially breaches these Terms and fails to cure within 30 days of notice, or becomes insolvent.
14.3 Effect of Termination
Upon termination:
- Client's access to the Service will be revoked
- ESS will make Client Data available for export for 30 days
- After 30 days, ESS will delete Client Data per the Privacy Policy
15. Governing Law and Disputes
These Terms are governed by the laws of Romania and the European Union. Disputes will be submitted to the competent courts of Brașov, Romania. For US-based Clients, disputes may be subject to binding arbitration if agreed in the Order Form.
16. Changes to Terms
ESS may update these Terms at any time. Clients will be notified of material changes via email at least 30 days before they take effect. Continued use constitutes acceptance.
